Officials at top technical professional construction services firm Jacobs Engineering Group Inc. have announced completion of their $1.2 billion merger with Australia-based Sinclair Knight Merz; the price reflects an enterprise value of $1.1 billion plus cash and debt adjustments.

Craig Martin, CEO of the Pasadena, California-headquartered Jacobs, said the combination “further diversifies our geographic offerings and the end-markets we serve; we look forward to integrating the companies and see excellent opportunities ahead to grow our business.”

CEO Santo Rizzuto of the Australia-based Sinclair Knight struck a similar note. “We are very enthusiastic about our future with Jacobs,” he said. “We have significantly expanded our geographies and capabilities.”

Founded in 1964, Sinclair Knight is an employee-owned professional services firm with consulting, planning, engineering and construction capacities. With operations in Australia, Asia, South America and the U.K., Sinclair Knight employs 6,900 while serving clients in industries including mining, metals and energy; 2013 revenue stood at $1.2 billion.
